Copano is a Delaware limited liability company, or LLC.

Unlike its peers in the midstream natural gas industry, Copano is structured as a publicly traded limited liability company (LLC). See chart below.

Our LLC structure combines the tax attributes of a master limited partnership, or MLP, with the corporate governance attributes of a corporation. As an LLC, we do not have a general partner – this means we are not burdened by "incentive distribution rights" – and we have a Board of Directors that is elected by our common unitholders. The above chart summarizes the characteristics of our LLC structure compared to a typical MLP and a typical public corporation.
